Need My Old HR24 Receiver Replaced, On It's Last Legs
I am not a techie, so please don't laugh at my questions. I have an old HR 24 500 Receiver used the most with my main Samsung tv in the great room, and have 2 D12-700 boxes connected to old non-flat screen tvs. I plan to replace one of those very old tvs with a new flat screen tv (not sure yet, but probably a smart tv) and I don't need a third DTV box any longer. Since my HR 24 500 Receiver is pretty old and appears to be on its last legs and acting up, will Directv replace it for free? I have not had any equipment upgrade for greater than 10 years. And will getting a newer Receiver mean a Genie, and will that increase my monthly cost for service?

They no longer have any HR24s to replace it with and since you still have D12s DTV has to replace them and most likely the dish to continue providing service, this is done for free with the swap offer.
DTV is only installing the HS17 Genie2 that is a mini client only system and there will be a $3.00 Whole Home fee added to the bill. With the swap offer there will be no new 2 yr contract.

Shannon or anyone else, Does the HS17 Genie 2 have DVR included with the main receiver? What if my Samsung flat screen tv is not a 4K tv or a smart tv, does that matter?

The HS17 does have a 2TB internal hard drive, and it is an Genie HDDVR Server. Being that it is a server, it cannot connect to an actual TV. A Genie client must be used to connect to all TVs, no other equipment is allowed to be activated on an account with an HS17 server. Genie clients can be either wired or wireless, and the only ones that support 4K are the C61K wired 4K client and C71KW (also known as Gemini, it can do 4K wirelessly as well via the HS17's internal Wireless Video Bridge meant to send signals to wireless Genie clients).

Though the HR24 has been a great box, stock of them is extremely low (if not finally out). They have been moving forward with a new setup.
Your D12s are obsolete. DirecTV has been shutting down the MEPG-2/SD-only feeds.
You will need to call and request a MPEG swap. Do NOT say "upgrade" or the order will include a 24 month service agreement. Either way check the order confirmation before you are installed.
Ideally you would get a Genie (HR44 or HR54) and a Mini Genie to replace the D12s and could separately do a warranty replacement of the HR24 for another HR24. But likely you would get the Genie-2 (HS17) which will feed the 3 Mini Genies (one on each TV).
Genie-2 has the DVR, but is a Headless Server. It doesn't go on a TV itself. It has 7 tuners and 2TB space which will be shared between your 3 TVs. That is more overall capability than you have now. It does add $3 for Whole Home DVR to your monthly bill.
Doesn't matter if your TV is a 'smart' TV or has 4K or not. Boxes connect to any TV you have. If you had a 4K TV, then the 4K client would be suggested of course but again not a requirement.
